Who we are and who you are
Filo is made by Jest Labs, LLC ("we", "us"), 333 W 2230 N, Suite 310, Provo, UT 84604. These terms are between us and the company that uses Filo ("you"). A workspace in Filo belongs to the company that created it, not to the person who clicked Sign up. The people your company invites into the workspace use Filo on your behalf, and you are responsible for what they do there.
By creating a workspace, signing in to one, or using the desktop app, you agree to these terms. If you are agreeing for a company, you confirm you have the authority to do so.
The service
Filo is a back-office agent for companies that make physical products. You give it a formula, a supplier list, a quote or a question. Filo reads it, works on your records, drafts what should go out, asks when it is unsure, and keeps a record of every step.
Filo does not place orders, pay suppliers, release lots or send anything on its own. Every email it drafts stays a draft until a person in your workspace approves it, and it goes out from that person's own mailbox. Every write to your records says who made it and can be undone. Filo recommends; people decide.
The service changes often. We add, change and remove features as we learn from the companies that use Filo. Where a change takes something away that you rely on, we tell workspace admins by email at least 30 days ahead when we can.
Accounts
Everyone who uses Filo signs in. Accounts are free. You keep your sign-in private and tell us at once if you think someone else has it.
Each workspace has owners and admins who manage the people in it, and members who do the work. Owners and admins can disable a person or remove them from the workspace, and we honor that on the next request. We can disable an account or a workspace that breaks these terms or puts other customers at risk, and we tell the workspace's owners when we do.
Your data and content
What you put into Filo is yours: messages, files, formulas, prices, supplier lists, records and anything else. You give us a license to store, read and process that content only as needed to run the service for you, to keep it secure, and to answer your questions. We do not sell it and we do not use it to train general models.
Records you keep in a connected system, such as a Google Sheet or an ERP, stay in that system under that system's terms. Filo reads and writes them there on your behalf and keeps a log of what it wrote. Moving a record into or out of Filo is something you choose, never something Filo does on its own.
You are responsible for having the right to put content into Filo, including your customers' formulas and your suppliers' quotes.
Connected accounts
You can connect Filo to Google Workspace, Slack, Fiddle and other systems through their own sign-in. Each connection is authorized by a person in your workspace, with that person's own account, and that person can revoke it at any time from Filo or from the other service. We hold the tokens those services give us encrypted with a key kept outside the database. Filo acts in those systems only as the person who connected them and only for the features that person turned on.
AI
Filo uses large language models from providers we name in our list of sub-processors. Your content is sent to the provider the platform admin has chosen, under that provider's API terms, which do not allow it to be used for training. Filo can be wrong. It reads documents, estimates costs and drafts emails, and it will sometimes misread a line or miss a price. You review what Filo produces before you act on it. Filo shows its evidence and asks when it is unsure so that review is quick, but the decision is yours.
You may not use Filo to generate content that is unlawful, that infringes someone's rights, or that tries to make Filo act outside its ground rules. Our acceptable use page says more.
Fees
Filo is priced per piece of work finished, never per person. Prices, the design-partner pilot and any annual commitment are set out in the order you sign with us. You can set a spending cap on your workspace; past it Filo still drafts, and a person finishes.
Fees do not include taxes. We invoice monthly unless the order says otherwise, and invoices are due within 30 days. If an invoice goes unpaid, we tell you, then we may suspend the workspace until it is settled.
The desktop app
We give you a license to install and use the Filo desktop app on computers used by your workspace. The app updates itself. You may not copy, modify, reverse engineer or redistribute it, except where the law allows that regardless of this term.
Availability and changes
We work to keep Filo available and to fix problems quickly, but we do not promise uninterrupted service. We may take Filo down briefly for maintenance and will tell admins ahead of time when we can. Every agent turn is saved step by step, so a restart or deploy picks up where it left off rather than losing work.
Suspension and termination
You can close your workspace at any time by asking us. We can end these terms, or suspend a workspace, if you break them and do not fix the problem within 15 days of our notice, or at once if the breach puts other customers or the service at risk.
Export comes first. Before we close a workspace we make your data available to you, and you have 30 days after termination to export it. After that we delete it from our active systems, and from backups as they roll over.
Disclaimers and limitation of liability
Filo is provided as it is. We do not promise that it will meet every need, that every reading will be correct, or that it will be free of errors. To the extent the law allows, we are not liable for indirect, incidental or consequential losses, including lost profits or lost business, however they arise.
Our total liability to you under these terms is limited to the fees you paid us in the 12 months before the claim. Nothing here limits liability that cannot be limited by law.
Indemnities
You will defend us against claims arising from content you put into Filo or from your use of the service in breach of these terms, and pay any resulting damages and reasonable costs. We will defend you against claims that Filo itself infringes a third party's intellectual property rights, and pay any resulting damages and reasonable costs, provided you tell us promptly and let us run the defense.
Governing law and venue
These terms are governed by the laws of the State of Utah, without regard to conflict of law rules. Any dispute will be brought in the state or federal courts in Utah County, Utah, and both of us agree to that jurisdiction.
Changes to these terms
We may update these terms. When we do, we email workspace admins at least 30 days before the change takes effect and post the new version with its date on this page. If you keep using Filo after the date, the new terms apply.
